These Terms of Service ("Terms") govern your use of skalehub.ai and its subdomains and the services offered by SkaleHub Inc ("SkaleHub", "we", "us"). By using our website or services, you agree to these Terms.

1. Our services

SkaleHub provides marketing services for businesses, including ad tracking audits, conversion tracking setup, advertising management and AI-assisted lead response ("AI Chat" and "AI Front Desk"). The scope, price and timeline of any paid engagement are set out in a proposal, order form or agreement ("Order"). If an Order conflicts with these Terms, the Order controls.

2. Free tracking audit

Our free audit is a no-obligation review for informational purposes. Our findings and scorecard reflect what we can see at the time of the audit and are not a guarantee of any outcome.

3. Results

Examples of results on our website, including typical changes in cost per lead, describe past client outcomes. Results depend on your market, location, budget, offer and other factors outside our control. We do not guarantee any specific number of leads, appointments, revenue or cost per lead.

4. Fees and payment

• One-time services, such as the tracking fix, are billed as stated in your Order.
• Monthly plans are billed in advance each month. Done-for-you ads has a 3-month minimum term unless your Order says otherwise.
• Advertising spend is separate from our fees and is paid directly by you to Google, Meta or other platforms.
• Phone and text-message usage may be billed at cost, as stated in your Order.

5. Your responsibilities

• Give us access to your ad, analytics and website accounts through the platforms' own user or partner access. Never share passwords.
• Provide accurate information about your business and approve ads and messaging before they run.
• Comply with laws that apply to your business, including advertising, privacy, consumer-protection and, where relevant, healthcare privacy laws. Do not send us patient health information unless we have agreed in writing to the safeguards required for it.

7. Third-party platforms

Our services rely on third-party platforms such as Google, Meta, our CRM platform and phone carriers. Their terms and policies apply to your use of them, and we are not responsible for their outages, policy changes, account decisions or approval timelines, including text-message registration.

8. Intellectual property

Our website content, brand and materials belong to SkaleHub. Deliverables created for you under a paid Order are yours to use once paid in full, except for our pre-existing tools, templates and know-how.

9. Disclaimers

Our website and services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, SkaleHub will not be liable for indirect, incidental, special, consequential or lost-profit damages. Our total liability for any claim will not exceed the fees you paid us in the 3 months before the claim arose.

11. Indemnification

You agree to defend and hold SkaleHub harmless from claims arising from your business, your ads and offers, your content, or your violation of these Terms or applicable law.

12. Governing law

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in [COUNTY, STATE].

13. Changes

We may update these Terms from time to time. The effective date at the top shows when they were last changed. Continued use of our website or services means you accept the updated Terms.
