Welcome to SkaleHub.ai (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the SkaleHub.ai website, platform, AI agents, and associated services (collectively, the "Services").
By accessing our website, purchasing a subscription, or using our Services, you (“Client,” “User,” or “you”) agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
1. Description of Services
If your use of SkaleHub.ai includes our SMS Sales Agents, appointment reminders, or any Application-to-Person (A2P) text messaging services, you are strictly bound by telecommunications laws and industry guidelines.
2.1 Regulatory Compliance
The Client agrees to comply fully with the Telephone Consumer Protection Act (TCPA), the Controlling the Assault of Non-Solicited Pornography and Marketing (CAN-SPAM) Act, and the CTIA Messaging Principles and Best Practices.
2.2 10DLC Registration
Mobile carriers require all businesses sending A2P SMS to register their brand and messaging campaigns via 10-Digit Long Code (10DLC) frameworks.
The Client agrees to provide SkaleHub.ai with accurate, up-to-date business information (EIN, legal business name, address, website) required for 10DLC registration.
SkaleHub.ai is not liable for campaign rejections, carrier filtering, or message blocking caused by incomplete or inaccurate information provided by the Client.

You may not purchase, rent, or use third-party lists for SMS messaging.
Opt-in forms must clearly state the nature of the messages and frequency.
2.5 Prohibited Content (SHAFT-C)
The Client agrees never to use SkaleHub.ai's SMS or Voice agents to transmit content related to Sex, Hate, Alcohol, Firearms, Tobacco, or Cannabis (SHAFT-C), or any content that is illegal, fraudulent, or promotes violence. Violation of this clause will result in immediate termination of your account without a refund.
3. Digital Advertising Services (Google, Meta, etc.)
If SkaleHub.ai manages, creates, or deploys digital advertising campaigns (e.g., Google Ads, Meta Ads, TikTok Ads) on your behalf, the following terms apply:
3.1 Ad Platform Policies
The Client's advertisements and destination URLs must comply with the terms of service, advertising policies, and community standards of the respective third-party platforms (e.g., Google, Meta).
SkaleHub.ai is not responsible for ad account suspensions, disapprovals, or bans resulting from the Client’s website content, business practices, or requested ad copy.Opt-in forms must clearly state the nature of the messages and frequency.
3.2 Ad Spend and Billing
Unless explicitly stated otherwise in a separate service agreement, the Client is directly responsible for all ad spend billed by third-party platforms. SkaleHub.ai’s service fees for campaign management or AI lead generation do not include your advertising budget.
3.3 Performance Disclaimer
While SkaleHub.ai utilizes advanced AI and best practices to optimize campaigns, we do not guarantee specific results, return on ad spend (ROAS), lead volume, or cost-per-acquisition (CPA). Digital advertising is subject to market fluctuations, platform algorithm changes, and competitor behavior.
3.4 Intellectual Property in Ads
The Client guarantees that they own or have the appropriate licenses for any images, videos, logos, or text provided to SkaleHub.ai for use in advertisements.
4. Account Access & Security
You are responsible for all activities that occur under your account.

5. Fees, Payment, and Cancellation
Fees: Client agrees to pay the subscription fees and any usage-based billing (e.g., SMS segments, AI minutes) associated with their chosen SkaleHub.ai plan.
Auto-Renewal: Subscriptions automatically renew unless canceled prior to the next billing cycle.
Refunds: All fees are non-refundable unless otherwise required by law.
Cancellation: You may cancel your subscription at any time through your account dashboard. You will retain access to the Services until the end of your current paid billing period.
6. Limitation of Liability
To the maximum extent permitted by applicable law, SkaleHub.ai and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Any conduct or content of any third party on the Services.

7. Indemnification
You agree to defend, indemnify, and hold harmless SkaleHub.ai from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any claims brought by third parties related to TCPA violations, non-compliant SMS messaging, or copyright infringement within your digital ads.
8. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of [Insert Your State], without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in [Insert Your County/State].
